Affiliate Program Terms of Service

Effective Date: February 1, 2026

These Affiliate Program Terms of Service (“Affiliate Terms”) govern your participation in the Winnr Affiliate Program (“Program”) operated by Winnr Software LLC (“Winnr,” “we,” “us,” “our”). By enrolling in the Program, you (“Affiliate,” “you,” “your”) agree to be bound by these Affiliate Terms, as well as our general Terms of Service and Privacy Policy.

1. Program Overview

Eligibility

The Winnr Affiliate Program is open to individuals and businesses who:

  • Are at least 18 years of age or the age of majority in their jurisdiction
  • Have a valid Winnr account in good standing
  • Comply with all applicable laws and regulations related to advertising, marketing, and affiliate promotions
  • Have not been previously terminated from the Program for cause

How to Enroll

To join the Program, you must apply through your Winnr dashboard. Winnr reserves the right to accept or reject any application at its sole discretion. Approval is not guaranteed, and we may request additional information before making a decision. You will be notified of your application status via email.

2. Referral Rules

To earn commissions through the Program, you must adhere to the following referral rules:

  • Genuine New Customers: Referrals must be genuine, new customers who have not previously held a Winnr account. Referring existing customers, inactive accounts being reactivated, or accounts created specifically to generate affiliate commissions does not qualify.
  • No Self-Referrals: You may not refer yourself, your own business entities, or accounts you own or control. Self-referrals will be flagged and commissions will be reversed.
  • 30-Day Cookie Window: A referral is tracked using a 30-day cookie from the time a prospective customer first clicks your unique affiliate link. If the prospective customer signs up and subscribes to a paid plan within 30 days of clicking your link, the referral is attributed to you.
  • First-Click Attribution: Winnr uses a first-click attribution model. If a prospective customer clicks multiple affiliate links, the commission is awarded to the affiliate whose link was clicked first, provided the 30-day cookie window has not expired.

3. Commission Structure

  • Commission Rate: Affiliates earn 20% recurring commission on each referred customer's base subscription payment.
  • Commission Duration: Commissions are paid for up to 12 months from the date of the referred customer's first paid subscription.
  • Eligible Revenue: Commissions are calculated on the base subscription amount only. Add-ons, one-time purchases (such as domain purchases), overages, and credits are excluded from commission calculations.
  • 30-Day Hold Period: All commissions are subject to a 30-day hold period from the date they are earned. This hold allows time to verify the legitimacy of the referral and ensure the customer's payment clears successfully.

4. Commission Clawback and Rejection

Winnr reserves the right to reverse, withhold, or reject commissions under the following circumstances:

  • Cancellation or Downgrade: If a referred customer cancels their subscription or downgrades to a free/lower tier within the 30-day hold period, the pending commission for that period will be reversed.
  • Refunds: If a referred customer receives a refund (partial or full) within the hold period, the corresponding commission will be adjusted or reversed accordingly.
  • Payment Failures: If a referred customer's payment fails or is charged back, the associated commission will not be paid or will be clawed back if already credited to your affiliate balance.
  • Fraud or Policy Violation: If Winnr determines, at its sole discretion, that a referral was obtained through fraudulent means, misrepresentation, or violation of these Affiliate Terms, the commission will be rejected and your affiliate account may be suspended or terminated. In cases of fraud, Winnr reserves the right to withhold all unpaid commissions.

5. Payout Terms

  • Minimum Payout Threshold: Commissions are paid out once your affiliate balance reaches a minimum of $50.00 USD. Balances below this threshold will roll over to the next payout cycle.
  • Monthly Processing: Payouts are processed monthly, typically within the first 15 business days of each calendar month for commissions that have cleared the 30-day hold period in the prior month.
  • Payment Methods: Payouts are made via PayPal or direct bank transfer (ACH/wire), as configured in your affiliate dashboard. You are responsible for providing accurate payment information. Winnr is not responsible for payments sent to incorrect accounts due to affiliate error.
  • Tax Responsibility: Affiliates are solely responsible for reporting and paying all applicable taxes on affiliate income. Winnr may require you to complete a W-9 (for US-based affiliates) or W-8BEN (for non-US affiliates) before processing payouts. Winnr will issue a 1099-MISC or 1099-NEC for US affiliates earning $600 or more in a calendar year, as required by law.
  • Currency: All commissions and payouts are denominated in US Dollars (USD).

6. Prohibited Conduct

Affiliates must promote Winnr ethically and in compliance with all applicable laws. The following activities are strictly prohibited:

  • Spam: Sending unsolicited bulk emails, messages, or communications to promote your affiliate link. This includes cold email campaigns using purchased or scraped lists solely to promote Winnr affiliate links.
  • Paid Search on Brand Terms: Bidding on Winnr brand keywords (e.g., “winnr,” “winnr.app,” “winnr email”) or variations thereof in pay-per-click (PPC) advertising campaigns, including Google Ads, Bing Ads, and similar platforms.
  • Coupon and Deal Sites: Listing Winnr on coupon, deal, or discount aggregation websites without prior written approval from Winnr.
  • Fake Reviews or Testimonials: Publishing or commissioning fabricated reviews, testimonials, or endorsements about Winnr. All reviews must reflect genuine, honest opinions and experiences.
  • Cookie Stuffing: Using any technique to set affiliate tracking cookies without genuine user interaction, including hidden iframes, forced redirects, pop-unders, or any other method that sets cookies without the user knowingly clicking your affiliate link.
  • Misleading Claims: Making false, exaggerated, or misleading claims about Winnr's products, services, pricing, or capabilities.
  • Trademark Misuse: Using Winnr's name, logo, or trademarks in a way that implies endorsement, partnership, or official affiliation beyond your role as an affiliate, without prior written approval.
  • Incentivized Signups: Offering cash, rebates, or other monetary incentives to prospective customers in exchange for signing up through your affiliate link, unless explicitly approved by Winnr in writing.

Violation of any prohibited conduct may result in immediate termination from the Program and forfeiture of all unpaid commissions.

7. Termination

  • Termination by Winnr: Winnr may suspend or terminate your participation in the Program at any time, for any reason, with or without notice. Reasons for termination include, but are not limited to, violation of these Affiliate Terms, inactivity, fraud, or conduct that Winnr deems harmful to its brand or business.
  • Termination by Affiliate: You may withdraw from the Program at any time by notifying Winnr through your affiliate dashboard or by emailing support@winnr.app.
  • Effect of Termination: Upon termination, your affiliate links will be deactivated. Commissions that have already been approved and have cleared the hold period will still be paid out, provided the termination was not due to fraud or material violation of these Affiliate Terms. In cases of fraud, all unpaid commissions are forfeited.
  • Rate Changes: Winnr reserves the right to modify commission rates, cookie duration, or other Program terms. We will provide at least 30 days' written notice (via email or dashboard notification) before any changes to commission rates take effect. Continued participation in the Program after such changes constitutes acceptance of the new terms.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Winnr Software LLC and its officers, directors, employees, and agents shall not be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your participation in the Program, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Winnr has been advised of the possibility of such damages.

Winnr's total aggregate liability to you for all claims arising out of or related to the Program shall not exceed the total commissions paid to you in the six (6) months immediately preceding the event giving rise to the claim.

The Program is provided “as is” and “as available.” Winnr makes no warranties, express or implied, regarding the Program, including but not limited to the availability of tracking, accuracy of reporting, or uninterrupted operation of affiliate links.

9. Modifications

Winnr reserves the right to modify these Affiliate Terms at any time. Changes will be posted on this page with an updated effective date. For material changes (including changes to commission rates or payout terms), we will provide at least 30 days' advance notice via email or your affiliate dashboard. Your continued participation in the Program after the effective date of any modification constitutes your acceptance of the updated terms.
